Crane Country Day School is governed by a Board of Trustees, with membership ranging in numbers from twelve to twenty-one. Trustees hold office for three years, with membership renewable for an additional three-year term. Nominations for membership are accepted at any time from any member of the Crane community. Nominees for membership are reviewed by the Committee on Trustees and are presented to the full board for approval.

The Crane Country Day School Board of Trustees follows the National Association of Independent Schools' Principles and Practices for Independent School Boards and is governed by bylaws that are revised periodically to meet the changing needs of the board. The board meets five to nine times per year.

The board has three standing committees: Finance, Committee on Trustees, and Development. The Parents for Crane President, a Faculty Representative and the Head of School serve on the Board as ex-officio members, along with other school administrators and division heads. Others may be asked to join board meetings to share information as needed.
